Code of Ethics

For Gas Natural Fenosa, the integrity framework covers the set of policies, procedures and tools implemented to ensure that its activities, and those of its employees, are carried out in accordance with legislation and internal and external rules, regulations, procedures and standards applicable in all the areas in which it operates.

Code of Ethics

Gas Natural Fenosa's Code of Ethics, together with the company's adherence to external initiatives such as the principles of the United Nations Global Compact, reflect the company's formal commitment to act in an upright, responsible and transparent manner.

The Code of Ethics sets out the action guidelines for the Group's employees and establishes the behaviour that is expected of them in matters relating to corruption and bribery, respect for people, professional development, equal opportunities, workplace health and safety and respect for the environment, among others. It also establishes the guidelines for relations between Group employees and collaborating companies and institutions.

Dissemination of the Code of Ethics is essential to ensure it is complied with. For this reason, the Code of Ethics Committee was established in 2005, the main purpose of which is to ensure dissemination, knowledge of and compliance with the Code. This Committee is chaired by the Internal Audit Department and its members include representatives of Labour Relations, Investor Relations, Corporate Reputation and Customer Services. The Secretary of the Committee is attached to the Human Resources Department.

Furthermore, in order to guarantee compliance with the Code, the company has set up a number of local committees in Argentina, Brazil, Colombia, Italy, Mexico, Guatemala, Panama, Nicaragua and Moldavia, with a similar structure to that of the Code of Ethics Committee and with the specific purpose of reproducing in each country the functions that the Committee has in Spain.

One of the Code of Ethics Committee's main tasks is to oversee the consultation and notification procedure. This is a channel which was set up to enable the Group's employees to resolve any queries that they have on the application of the Code or to anonymously and confidentially report to the Committee any behaviour which goes against the principles of the code. All communications received are confidential and are treated in accordance with the Data Protection Act (Law 15/1999).
