The Share and its Share Capital
The GAS NATURAL SDG, S.A. equity is ONE BILLION SIX HUNDRED AND EIGHTY-NINE THOUSAND THREE HUNDRED FORTY-ONE EUROS (1,000,689,341) and is completely subscribed and paid out. The equity is made up of 1,000,689,341 shares with a €1 face value each, represented by account entries and all in the same class and series. The entity responsible for account registration is Sociedad de Gestión de los Sistemas de Registro, Compensación y Liquidación de Valores S.A. (IBERCLEAR). All the shares hold identical political and economic rights and are floated on the four Spanish stock exchanges through the continuous market and are part of the Ibex 35 index and in particular the Ibex Utilities index.

Significant Shareholdings in the Company and Treasury Stock
The General Meeting of 20 April 2010 authorised the Board of Directors to acquire own shares on the secondary market. There are currently no own shares.
Agreements between Shareholders
In 2002, the shareholders 'la Caixa' and Repsol YPF, S.A. signed an Addendum to the novation, dated 16 May 2002, of the agreement signed between them on 11 January 2000.

Emissions and Rating
Gas Natural SDG, S.A. obtained its first rating in February 1999. In October that same year, it formalised its first EMTN - Euro Medium Term Notes Programme.
